ACCIDENT WAIVER AND RELEASE OF LIABILITY FORM

Spin Art Nation located at 2302 N Central Ave #3, Phoenix, AZ 85004

I HEREBY ASSUME ALL OF THE RISKS OF PARTICIPATING IN ANY/ALL ACTIVITIES ASSOCIATED WITH THIS Spin Art EVENT, including by way of example and not limitation, any risks that may arise from negligence or carelessness on the part of the Spin Art Nation or directors, officers, managing members, employees, volunteers, representatives, and agents of Spin Art Nation being released, from dangerous or defective equipment or property owned, maintained, or controlled by them, or because of their possible liability without fault.

I certify that I understand this activity has potential risks including but not limited to:

1) Use of Acrylic and other types of home paints that may or may not consist of Lead based paint; 2) Potentially moving or lifting objects of not more than ten pounds; 3) Mental and physical stress and anxiety; 4) Being in a reasonably small space with strangers and other groups; 5)Possibility of failure to create spin art desired. 5) Incidents incurred by the Quick drying machine. 6) Potential dizziness due the nature of the tables.

I have no physical or mental illness that precludes my participation in a safe manner for myself or others. I am not under the influence of drugs which impairs my ability to maintain my safety awareness or endangers others.

I acknowledge that this Accident Waiver and Release of Liability Form will be used by Spin Art Nation of the activity in which I may participate, and that it will govern my actions and responsibilities at said activity. I agree that all staff or authorized agents may, in their sole discretion, determine it is unsafe for myself or others for my participation to continue, ask to leave the premises.

I hereby grant permission to Spin Art Nation and its representatives to take photographs or videos of me and to make recordings at the event or location and 2302 N Central Ave #3, Phoenix, AZ 85004.

I further grant to the producers and their representatives the right to reproduce, use, exhibit, display, broadcast, distribute and create derivative works of their images and recordings in any media now known or later developed.

I acknowledge that Spin Art Nation owns all rights to the images and recordings.

I hereby waive any right to inspect or approve the use of the images or recordings or of any written copy.

I further waive all moral right. I also waive any right to royalties or other compensation arising from or related to the use of the images, recordings, or materials.

I hereby release, defend, indemnify and hold harmless the producers from and against any claims, damages, or liability arising from or related to the use of the images recordings or materials, including but not limited to claims of defamation, invasion of privacy, or rights of publicity or copyright infringement, or any misuse, distortion, blurring, alteration, optical illusion or use incomposite from that may occur or be produced in taking, processing, reduction or production of the finished product, its publication or distribution. I am 18 years of age or older and I am competent to contract in my own name. 

I have read this document before signing below, and I fully understand the content, meaning and impact of this consent, waiver, indemnity and release. This consent, waiver, indemnity and release is binding on me, my heirs, executors, administrators and assigns.

In consideration of my application and permitting me to participate in this activity, I hereby take action for myself, my executors, administrators, heirs, next of kin, successors, and assigns as follows:

(A) I WAIVE, RELEASE, AND DISCHARGE from any and all liability, including but not limited to, liability arising from the negligence or fault of the entities or persons released, for my death, disability, personal injury, property and clothes damage, property theft, or actions of any kind which may hereafter occur to me, THE FOLLOWING ENTITIES OR PERSONS: The directors, officers, managing members, employees, volunteers, representatives, and agents of Spin Art Nation and ; insurers, and affiliated organizations

 (B) INDEMNIFY, HOLD HARMLESS, AND PROMISE NOT TO SUE Spin Art Nation or directors, officers, managing members, employees, volunteers, representatives, and agents of Spin Art Nation  from any and all liabilities or claims made as a result of participation in this activity, whether caused by the negligence of release or otherwise.

 I acknowledge that the directors, officers, managing members, employees, volunteers, representatives, and agents of any authorizing entity are NOT responsible for the errors, omissions, acts, or failures to act of any party or entity conducting a specific activity on their behalf.

 I hereby consent to receive medical treatment which may be deemed advisable in the event of injury, accident, and/or illness during this activity.

I understand while participating in this activity, I may be photographed. I agree to allow my photo, video, or film likeness to be used for any legitimate purpose this authorizing entity decides, and assigns including marketing.

 The Accident Waiver and Release of Liability Form shall be construed broadly to provide a release and waiver to the maximum extent permissible under applicable law.

I CERTIFY THAT I HAVE READ THIS DOCUMENT AND I FULLY UNDERSTAND ITS CONTENT. I AM AWARE THAT THIS IS A RELEASE OF LIABILITY AND A CONTRACT AND I SIGN IT OF MY OWN FREE WILL.

How much is the admission?

$39.99 kids 8 & under package with 15″ x 15″ board

What should we wear?

We recommend that you wear some old clothing that you wouldn’t mind having a paint drop or two on.

How long are the Spin Art sessions?

1 hour

What is the minimum age requirement?

4 and up. 12 years or younger must be accompanied by parent or guardian. The parent or guardian must pay their admission fee.

Can two people work on one Diamond package? 

Yes, you can work on one diamond package together. At checkout chose 1 package and chose diamond package..

Can we bring alcohol or beer?

At the moment we don’t have alcohol license or BYOB license.

Can we BYOB (Bring your own Beer)?

Not at this time. But we are working on getting Alcohol license

Do you have any discounts?

What is minimum number of participants required?

One person minimum

Does everyone in my party get their own spin art booth?

Each spin art session is designed for up to 2 artists.

You don’t book separate bowling lane for each player when playin bowling, right?

You’ll be making your masterpieces together, taking turns, discussing techniques and ideas.

How long do we keep art if it’s not picked up on the same day?

We keep it for up to 14 days. After that we will put it on our lobby wall, sell, or donate it.

Do we sell any food or drinks?

Yes, We sell soft drinks and snacks.

Should we come in earlier?

Yes, come in about 15 minutes before your booking time.

What if we come late? Will you wait for us?

No worries. We will move your reservation for a next available slot.

How many people can participate at the same time?

We can do up to 12 people max. ( we have 6 adults and 6 kids stations)

Is there a instructor provided?

Yes, we will instruct classes from start to finish.

Do we have to make a reservation or can we just walk in?

You need to make a reservation.

Do I need to make a payment in order to make a booking?

Yes.

Do I need to pay for everyone in my group?

No, you can pay for your ticket only and other group members can pay all individually too.

Do I need to make a downpayment for group reservation?

For individuals you need to make a payment at the time of booking

For groups you need to make a minimum of 50% down payment at the time of booking.

Can you send us an invoice so we can pay with a check?

Yes we can. Contact the location where you plan to visit.

What is your cancellation policy?

We can cancel or change your booking with no additional charge but we don’t do refunds.

Can I get a refund?

Due to the nature of our business we don’t do refunds. We can reschedule your booking or if you need to cancel we can offer to leave a credit on your account for future booking.

What rules must I follow while visiting Spin Art Nation?

We have a few ground rules, which must be followed at all times:

We recommend that you wear some old clothing that you wouldn’t mind having a paint drop or two on.

Listen to your Art Instructor’s at all times.

Do not bring any weapons, alcoholic beverages, or pets onto the property

Respect other customers and employees; no rude or lewd behavior.

No smoking inside the facility.

No Flashlights.

Can I bring my cellphone and take pictures and video?

YES, in fact we encourage it. We provide professional lighting set up for your phone and chargers. Just make sure to tag us.

Is there a dress code?

All participants MUST wear proper CLOSED TOED SHOES. No heels. We suggest to use older clothes that you won’t mined if you will get few paint drops on.

NON-DISCLOSURE AGREEMENT ("AGREEMENT")

Receiving Party (as defined in the signature block below) desires to receive certain confidential information from Spin Art Nation LLC (“Disclosing Party”). To ensure the protection of such information and for good and valuable consideration, the receipt and adequacy of which is acknowledged, the parties agree as follows:

1. As used in this Agreement, Confidential Information includes all technical, financial and business information relating to Disclosing Party’s and its subsidiaries’ and affiliates’ business, including without limitation proprietary ideas, patentable ideas and/or trade secrets, existing and/or contemplated products and services, research and development, production, costs, profit and margin information, finances and financial information, customers, clients, marketing, and current or future business plans and models, regardless of whether such information is marked as “Confidential Information,” and all other information marked as “Confidential” at the time of, or shortly following, disclosure. Notwithstanding the foregoing, “Confidential Information” does not include any information which (i) was publicly known and made generally available in the public domain prior to the time of disclosure by the Disclosing Party; (ii) becomes publicly known and made generally available after disclosure by the Disclosing Party to the Receiving Party through no action or inaction of the Receiving Party or its representatives; (iii) is already in the possession of the Receiving Party at the time of disclosure by the Disclosing Party as shown by the Receiving Party's clear and convincing written evidence prior to the time of disclosure; or (iv) was independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information, as shown by clear and convincing written evidence in the Receiving Party's possession.

2. Receiving Party shall safeguard the confidentiality and ensure the non-dissemination of all Confidential Information including by enacting at least those measures Receiving Party takes to protect its own most valuable confidential information. Receiving Party may use the Confidential Information only for the purpose of evaluating its potential business relationship with Disclosing Party.

3. Receiving Party shall limit disclosure of Confidential Information within its own organization to its directors, officers, employees and/or professional advisors, (or in the case of an individual, such individual’s spouse and professional advisors) who have agreed to maintain such information as strictly confidential in accordance with the terms of this Agreement and have a need to know such information. Receiving Party will be liable for all act of such third parties. Receiving Party shall not disclose Confidential Information to any other third party without prior written consent.

4. This Agreement shall not be construed as creating, conveying, transferring, granting or conferring upon either party any rights, license or authority in or to the information exchanged. No license or conveyance of any intellectual property rights is granted or implied by this Agreement.

5. Nothing in this Agreement constitutes an obligation by Disclosing Party to disclose any specific information to Receiving Party or constitutes a representation or warranty that any disclosure is full and accurate. Neither party has an obligation under this Agreement to offer or to purchase any services, goods, or intangibles from the other party or to do business with the other party. Furthermore, both parties acknowledge and agree that the exchange of information under this Agreement shall not commit or bind either party to any present or future contractual relationship (except as specifically stated herein), nor shall the exchange of information be construed as an inducement to act or not to act in any given manner.

6. Neither party shall be liable to the other in any manner whatsoever for any decisions, obligations, costs or expenses incurred, changes in business practices, plans, organization, products, services, or otherwise, based on either party’s decision to use or rely on any information exchanged under this Agreement.

7. Upon the Disclosing Party's request, all documents, emails, and other tangible objects containing or representing the Confidential Information and all copies thereof which are in the possession or control of the Receiving Party (or any third parties receiving such information from the Receiving Party), in all forms and formats, shall be promptly returned to the Disclosing Party and, in the case of emails or other soft copies, permanently deleted.

8. The Receiving Party agrees that its obligations hereunder are necessary and reasonable in order to protect the Disclosing Party and the Disclosing Party’s business, and expressly agrees that monetary damages would be inadequate to compensate the Disclosing Party for any breach by the Receiving Party of any covenants and agreements set forth herein. Accordingly, the Receiving Party agrees and acknowledges that any such violation or threatened violation will cause irreparable injury to the Disclosing Party and that, in addition to any other remedies that may be available, in law, in equity or otherwise, the Disclosing Party shall be entitled to obtain specific performance, injunctive relief and/or other equitable relief against the threatened breach of this Agreement or the continuation of any such breach, without the necessity of proving actual damages. The Receiving Party further agrees to waive any requirement for security or posting of any bond in connection with any such remedy.

9. Except as otherwise specifically provided, the obligations of the Receiving Party under this Agreement shall survive the termination of this Agreement for as long as any disclosed information remains “Confidential Information” as defined above.

10. This Agreement states the entire agreement between the parties concerning the disclosure of Confidential Information and supersedes any prior agreements, understandings, or representations. Any addition or modification to this Agreement must be made in writing and signed by authorized representatives of both parties. This Agreement shall be governed by the laws of the State of Iowa without reference to conflict of laws principles. Any suit to enforce this Agreement shall be brought in (City and State) and the Parties hereby submit to the exclusive personal jurisdiction of such courts and waive any venue objection. Any failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision hereof. In the event any term of this Agreement is found by any court to be void or otherwise unenforceable, the remainder of this Agreement shall remain valid and enforceable as though such term were absent upon the date of its execution. The prevailing party in any litigation or other proceeding (“Proceeding”) relating to the enforcement or interpretation of this Agreement may recover from the other party all costs, expenses, and actual attorney’s fees (including expert witness and other consultants’ fees and costs) relating to or arising out of the Proceeding and the collections thereof.
